Terms of Service

By accessing or using BrainBoard (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Vistaar Nexus regarding your use of BrainBoard.

You must be at least 16 years old to use BrainBoard. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

If you are using BrainBoard on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

To use certain features of BrainBoard, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

BrainBoard is designed for collaborative work. When you create or join a workspace, you become part of a shared environment where boards, notes, comments, and activity may be visible to other workspace members based on permission settings.

Workspace owners and administrators have the ability to manage workspace membership, set permissions, and control access to workspace content. By joining a workspace, you acknowledge that workspace administrators may access content shared within that workspace.

You are responsible for ensuring that you have the right to share any content you post within a workspace and that such sharing complies with applicable laws and agreements.

You agree not to use BrainBoard to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Transmit harmful code, malware, or viruses
• Attempt to gain unauthorized access to systems or accounts
• Harass, abuse, or harm other users
• Upload content that is illegal, offensive, or discriminatory
• Interfere with the operation of the Service or other users' access
• Scrape, crawl, or systematically collect data without authorization

We reserve the right to investigate and take appropriate action against violations of these rules.

"User Content" refers to any content you create, upload, or share through BrainBoard, including boards, sticky notes, sections, comments, votes, and attachments.

You retain ownership of your User Content. By posting User Content on BrainBoard, you grant us a limited license to host, display, and transmit your content solely for the purpose of providing the Service to you and your workspace members.

You represent that you have all necessary rights to your User Content and that it does not violate the rights of any third party.

We do not claim ownership over your User Content. However, workspace owners and administrators may have the ability to manage, edit, or remove content within their workspaces.

BrainBoard and its original content, features, and functionality are owned by Vistaar Nexus and are protected by international copyright, trademark, and other intellectual property laws.

You may not copy, modify, distribute, sell, or lease any part of BrainBoard or our software without our express written permission.

Feedback you provide about BrainBoard may be used by us without obligation or restriction.

BrainBoard may integrate with or link to third-party services. Your use of such services is subject to their respective terms and policies.

We are not responsible for the content, practices, or availability of third-party services. Use them at your own risk.

BrainBoard offers both Free and Pro plans. The features and limitations of each plan are described on our Pricing page and within the application.

Pro plans are billed on a per-seat basis. Billing is handled through our payment processor. By subscribing to a Pro plan, you agree to pay all applicable fees.

All fees are exclusive of taxes, which may be added where required by law.

Free plans are subject to usage limits, including the number of active boards and team members. These limits are displayed within the application and may change with notice.

Upgrading to Pro unlocks additional features and higher usage limits. Plan features and pricing are governed by the information displayed at the time of signup or purchase.

We reserve the right to modify plan features and pricing, with notice provided to affected users.

You may cancel your Pro subscription at any time through your billing settings or by contacting us. Cancellation takes effect at the end of your current billing period.

We may suspend or terminate your account if you violate these Terms or if required by law. Upon termination, your access to the Service will cease, but we will retain your data in accordance with our Privacy Policy.

You may also delete your account at any time. Deletion is permanent and may result in the loss of workspace content depending on your role and workspace settings.

We strive to maintain high availability of BrainBoard, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or factors beyond our control.

BrainBoard is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, secure, or available at all times.

You use BrainBoard at your own risk. We are not responsible for any loss of data, business interruption, or other damages resulting from your use of the Service.

To the maximum extent permitted by law, Vistaar Nexus shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of BrainBoard.

Our total liability for any claim arising under these Terms shall not exceed the amount you paid us for the Service in the twelve months preceding the claim, or one hundred dollars ($100), whichever is greater.

You agree to indemnify and hold harmless Vistaar Nexus and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising out of your use of BrainBoard, your User Content, or your violation of these Terms.

We may modify these Terms from time to time. Material changes will be communicated through the Service or via email.

Your continued use of BrainBoard after changes become effective constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of India.
